GENERAL TERMS AND CONDITIONS

  1. INTRODUCTION

These General Terms and Conditions ("Terms") apply to the administration and collection services provided by Zanoise Talent B.V.  ("Provider", "we", "us", "our") to the Client ("you", "your") under our Agreement with you.

  1. NEIGHBOURING RIGHTS

As an artist or master rights owner, you are entitled to remuneration, known as NR Royalties, for the use of your audio and/or audiovisual recordings in various formats and platforms, as per local legislation.

These General Terms and Conditions do not encompass your music copyrights and the royalties related thereto.

  1. SERVICES

We administer and collect neighbouring rights (“NR”) royalties for artists and master rights owners (labels).  Specific terms related to particular services/products will be detailed in our Agreement with you.

  1. APPOINTMENT

Via our Agreement with you (including the Power of Attorney forming part of it), you appoint us as your collection agent and grant us an exclusive mandate to manage your membership and repertoire registrations, exercise the rights granted and collect NR Royalties throughout the agreed-upon Territory during the Term.

We will endeavour to diligently administer and collect the NR royalties due to you but do not guarantee amounts.

  1. YOUR OBLIGATIONS

You agree to provide us with the necessary documents (including a colour copy of your ID, certain personal data, and repertoire info), to sign certain documents and forms as reasonably requested by us, and to keep us informed about (new) repertoire.

  1. TERM

Our Agreement with you spans a minimum of 24 months, commencing on the agreement date and concluding on the earlier of June 30 or December 31 post-termination notice from you. A collection period of 6 months follows the Term’s expiry.

  1. TERRITORY

The Territory can be the world or any (combination of) territories agreed upon by us and you in writing.

  1. FINANCIAL TERMS

Our fee is calculated as a percentage of gross NR royalties collected on your behalf. Depending on the volume of the catalogue and the NR income, our fees generally range from 10%-15%.

Monies due to you are computed at source. Payment methods and responsibilities vary between territories.

Accounting and payments are due within 45 days following the quarter in which distributions were received, with a minimum payout threshold of Euros 250. Payments and statements will be sent to the Client’s designated bank account and address.

The Provider bears the cost for its day-to-day office expenses.

You may audit our books and records under the conditions specified in the relevant Agreement.

  1. CONFIDENTIALITY AND DATA PROTECTION

We will safeguard your personal and financial information in accordance with the applicable laws and the provisions set out in our Agreement with you.

We may use your name and logo for promotional purposes unless agreed otherwise in our Agreement with you.

  1. TERMINATION

Both parties can terminate the agreement by written notice subject to the provisions of our Agreement with you.

  1. COMPLAINTS AND DISPUTES

Any complaints should be directed to one of the directors of our company or by sending an email to [email protected].

Disputes will be resolved through negotiation, and if resolution is not reached, arbitration will be sought unless agreed otherwise in our Agreement with you.

  1. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the Netherlands.

  1. AMENDMENTS

We reserve the right to modify these Terms at any time.
